These Terms of Service ("Terms") govern your access to and use of the CustomsPro AI software application and related services (collectively, the "Service"), provided by Minari Holdings LLC, a Wyoming limited liability company ("Company," "we," "us," or "our"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. By creating an account, you represent that you meet these requirements.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use the CustomsPro AI desktop application on a single personal computer (one license = one PC = one named user). This license is for your internal business use only.
You may not: (a) sublicense, resell, rent, lease, or distribute the Service; (b) use the Service on more than one PC per license purchased; (c) reverse engineer, decompile, or disassemble the Service; (d) remove any proprietary notices from the Service; (e) use the Service for any unlawful purpose or in violation of any applicable law or regulation, including U.S. customs laws and export controls.
You are responsible for maintaining the confidentiality of your license key. You agree to notify us immediately of any unauthorized use of your license. We are not liable for any loss or damage arising from your failure to protect your license key.
The Service is offered on a subscription basis with tiered plans (Starter, Professional, Business) as described on our pricing page. Each plan includes a monthly fair use limit as described on the pricing page. If your usage exceeds that limit, the Service continues to operate and may display a warning. Persistent use beyond the limit may require an upgrade to a higher plan beginning with the next billing cycle.
New users receive a 10-day free trial with full access to all features. No credit card is required to begin the trial. At the end of the trial period, access to premium features will be restricted until a paid subscription is activated. You may cancel at any time during the trial without obligation.
Subscription fees are billed monthly in advance through our authorized payment processor, Paddle. All fees are in U.S. dollars (USD). You are responsible for any applicable taxes, including sales tax, VAT, or GST. By providing payment information, you authorize us (or our payment processor) to charge the applicable subscription fee to your payment method on a recurring monthly basis until canceled.
We reserve the right to modify subscription fees upon 30 days' prior notice. Price changes will take effect at the start of the next billing cycle. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
You may cancel your subscription at any time through the license management interface within the application or by contacting us at support@customspro1ai.com. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months, except as set forth in our Refund Policy.
We may suspend or terminate your access to the Service immediately if: (a) you breach these Terms; (b) your payment method is declined and remains unpaid for more than 7 days; (c) you use the Service in a manner that violates applicable law; or (d) we reasonably determine that your continued use may harm our systems, reputation, or other users.
Upon termination, your right to use the Service ceases immediately. We will retain your classification data and audit trail records in encrypted form for 90 days. You may request a data export by contacting us before the retention period expires.
The Service, including its software code, algorithms, user interface design, documentation, HTS classification database, and all related intellectual property, is owned exclusively by Minari Holdings LLC. These Terms do not transfer any ownership rights to you. All rights not expressly granted are reserved.
You retain all ownership rights to the documents (invoices, packing lists, commercial documents) you upload to the Service. We claim no ownership over your uploaded content. You grant us a limited license to process your documents solely for the purpose of providing the HTS classification service to you.
If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation to you.
CUSTOMSPRO AI IS A CLASSIFICATION ASSISTANCE TOOL, NOT A REPLACEMENT FOR PROFESSIONAL BROKER JUDGMENT. Its output is a simulation for reference only and does not constitute legal, tax, or customs advice. The user is solely responsible for the accuracy of HTS classifications submitted to U.S. Customs and Border Protection (CBP), and AI-generated HTS code predictions must be reviewed and confirmed before submission. The Company makes no warranty or representation that AI classifications will be accepted by CBP or that they comply with all applicable laws and regulations.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MINARI HOLDINGS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, CBP PENALTIES, LIQUIDATED DAMAGES, CUSTOMS DELAYS, DETENTION OR SEIZURE OF GOODS, OR ANY OTHER COMMERCIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the claim.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: (A) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT; (B) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (C) WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF HTS CLASSIFICATIONS, DUTY RATE CALCULATIONS, SECTION 301 EXCLUSION ELIGIBILITY DETERMINATIONS, OR PGA FLAG IDENTIFICATIONS.
You agree to indemnify, defend, and hold harmless Minari Holdings LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including U.S. customs laws; (d) any HTS classification you submit to CBP based on the Service's output; or (e) any third-party claim related to documents or data you upload to the Service.
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Cheyenne, Wyoming. You consent to personal jurisdiction and venue in such courts.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email (if you have provided one) or through the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the modified Terms.
Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements. Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Waiver: Our failure to enforce any right under these Terms does not constitute a waiver. Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
